3. Refund Policy
3.1 General Refund Conditions
VertexLogicSystems is committed to delivering high-quality web development and digital transformation services. Refunds are evaluated based on the stage of project completion and adherence to the agreed scope of work.
3.2 Pre-Project Cancellation
If you cancel a project before any work has commenced (within 48 hours of initial payment), you are entitled to a full refund of any advance payments made. Cancellations after 48 hours but before work begins are subject to an administrative fee of 15% of the total project value.
3.3 In-Progress Refunds
For projects already in progress, refunds are calculated based on completed milestones as documented in the project agreement. Payments for completed milestones are non-refundable. Remaining milestone payments may be refunded in full if the cancellation is initiated by VertexLogicSystems or if the project cannot be completed due to circumstances within our control.
3.4 Post-Delivery Disputes
If you identify defects or deliverables that do not match the agreed specifications, you must notify us within 14 days of delivery. We will assess the claim and, if valid, provide rectification at no additional cost or a partial refund proportional to the deficiency.
3.5 Refund Processing
Approved refunds are processed within 14 business days of approval. Refunds are issued using the original payment method where possible. If the original payment method is unavailable, an alternative method will be agreed upon.
3.6 Monthly Retainer Services
Ongoing maintenance and retainer services may be cancelled with 30 days' written notice. The current billing period will be fulfilled in full. No prorated refunds are provided for partial months.
4. Terms of Service
4.1 Acceptance of Terms
By accessing or using the services of VertexLogicSystems, located at Calle de Alcalá 42, Madrid, Centro, España, España, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.
4.2 Scope of Services
VertexLogicSystems provides web development, design, optimization, and digital transformation services as described on this website and in individual project agreements. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate written agreement or statement of work (SOW) between the parties.
4.3 Client Obligations
The client agrees to:
- ▸ Provide timely access to necessary credentials, content, and materials
- ▸ Respond to review requests within 5 business days
- ▸ Ensure all provided content and materials do not infringe third-party intellectual property rights
- ▸ Make payments according to the agreed schedule
4.4 Intellectual Property
Upon receipt of full payment for a project, the client receives full ownership of all deliverables created specifically for that project, including source code, design assets, and documentation. VertexLogicSystems retains the right to use anonymized case studies and portfolio excerpts unless otherwise agreed in writing. Pre-existing tools, frameworks, and utilities used during development remain the property of VertexLogicSystems.
4.5 Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of the agreement for a period of 24 months.
4.6 Limitation of Liability
To the maximum extent permitted by applicable law, VertexLogicSystems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total aggregate liability under any engagement shall not exceed the total fees paid by the client for that engagement.
4.7 Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of Spain. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Madrid, España.
4.8 Amendments
VertexLogicSystems reserves the right to update these Terms of Service at any time. The current version will always be available on this page. Continued use of our services after changes constitutes acceptance of the updated terms.
